Terms of Use
The SolCard Card Agreement (this "Agreement"), together with the Privacy Policy and any program-specific terms presented to the Client in the App (such as rewards program terms), forms a legally binding agreement between you, the holder of the SolCard Card (the "Client"), and SolCard, also legally known as SC PAYMENTS LIMITED (Business Registration Number 78350827), incorporated under the laws of Hong Kong and having its registered business address at Unit 1603, 16/F, The L. Plaza, 367-375 Queen's Road Central, Sheung Wan, Hong Kong.
By completing the application procedure, the Client accepts this Agreement, and such acceptance constitutes execution of this Agreement between the Client and SolCard.
In this Agreement, the following terms have the meanings set out below:
- "App" means the SolCard web application and any other client application through which SolCard makes the Services available.
- "Card" or "SolCard Card" means the prepaid payment card issued by the Issuer and distributed through the SolCard platform.
- "Issuer" means the licensed financial institution or electronic money institution that issues the SolCard Card under the applicable card network program. The Issuer is a third party and is not SolCard.
- "Monthly Limit" and "Card Limit" mean the transaction and balance limits applicable to a Card, as set and displayed in the App from time to time.
- "Service Provider" means the Issuer and/or any third-party partner engaged by SolCard to facilitate card issuance, payment processing, transaction settlement, or related financial services.
- "Services" means the SolCard platform, the App, and the card program services made available to the Client.
- "SolCard" (also "we," "us," or "our") means SC PAYMENTS LIMITED, which operates the SolCard platform and acts as the program manager. SolCard is not a bank, electronic money institution, or card issuer. SolCard facilitates access to prepaid card products issued by its issuing partners.
- "Transaction" means any top-up, payment, withdrawal, fee, refund, reversal, or other movement of value on a Card.
The Client must be at least 18 years old, have the legal capacity to enter into this Agreement, and use the Services only on the Client's own behalf. The Client must provide accurate, current, and complete information during application, verification, and use of the Services, and keep that information updated. Access to certain card types or features requires completion of identity verification ("KYC"); SolCard may decline or restrict access where verification is not completed or cannot be confirmed.
SolCard services are not available to, and may not be used by, individuals or entities located in, incorporated in, or residents of the Hong Kong Special Administrative Region ("Hong Kong"). By accessing or using any SolCard service, the Client represents and warrants that:
- The Client is not a resident of, domiciled in, or physically located in Hong Kong.
- The Client is not accessing the SolCard platform, website, or any related services from within Hong Kong.
- The Client will not use SolCard services on behalf of any person or entity located in or resident of Hong Kong.
SolCard employs IP geolocation and other technical measures to detect and restrict access from Hong Kong. Access from Hong Kong IP addresses may be blocked or limited without prior notice.
During account registration and Know Your Customer ("KYC") verification, SolCard may refuse onboarding, decline applications, or restrict account functionality for any applicant identified as a Hong Kong resident based on identity documents, proof of address, or other verification data.
SolCard reserves the right to continuously monitor accounts for indicators associated with Hong Kong, including but not limited to Hong Kong IP addresses, Hong Kong-issued identification, Hong Kong billing or mailing addresses, and Hong Kong-linked payment methods. Where such indicators are identified, SolCard may, at its sole discretion and without prior notice, suspend, restrict, or terminate the affected account and forfeit any remaining balance in accordance with applicable law.
Any misrepresentation regarding the Client's location or residency constitutes a material breach of this Agreement and may result in immediate account termination and forfeiture of funds.
The Services are also not available to, and may not be used by: (1) individuals or entities located in, incorporated in, or residents of any country or territory subject to comprehensive sanctions administered by the United Nations, the United States, the European Union, or the United Kingdom; (2) any person named on any applicable sanctions or restricted-party list; or (3) any person acting on behalf of any of the foregoing. The representations, monitoring rights, and enforcement measures set out in the Geographic Restrictions section apply equally to this section.
SolCard operates as a program manager and technology platform. SolCard does not issue payment cards, hold Client funds in its own accounts, or act as a bank or electronic money institution. All cards are issued by the Issuer under the applicable card network rules. Certain restrictions, spending limits, and compliance requirements referenced in this Agreement may be imposed by the Issuer or the card network and are enforced by SolCard on their behalf.
The SolCard Card is a prepaid card issued by the Issuer. The Client may top up the Card's USD balance using the digital assets supported at the time of the top-up, as displayed in the App. The Card can be used for payments wherever cards of the applicable card network are accepted, subject to restrictions imposed by the Issuer, the card network, individual merchants, or applicable law. The Card is not a bank account, Card balances do not earn interest, and the Card is not a savings or deposit product.
SolCard and its Service Providers may set, vary, and publish operational parameters for the Services โ including supported digital assets, minimum and maximum Transaction amounts, processing and settlement windows, minimum refundable amounts, Monthly Limits, and Card Limits โ in the App or the SolCard help center from time to time, and these parameters may differ by card type. The parameters displayed in the App at the time of the relevant Transaction apply to that Transaction, and changes to parameters apply prospectively only. Help center content is operational guidance provided for the Client's convenience and does not form part of this Agreement.
- Application fees, card slot fees, and recharge (top-up) fees vary by card type and are displayed in the App before the Client confirms the relevant Transaction. The fees displayed at the time of a Transaction apply to that Transaction.
- No monthly fee for active accounts.
- An account with no login, no Card transaction, and no top-up for 90 consecutive days is considered dormant. While an account is dormant, SolCard reserves the right, but is not obliged, to charge each Card balance a dormancy fee of 10% of the remaining balance per month; where the remaining balance after a fee would be below 1 USD, the balance may be charged in full. Whether the dormancy fee is charged in any period is at SolCard's sole discretion, and not charging it in one period does not waive the right to charge it in a later period. Any login, Card transaction, or top-up ends dormancy and stops further fees. Inactivity occurring before this term's effective date counts toward the 90 days.
- Dormancy fees appear in the Card's transaction history in the SolCard application. SolCard may waive or refund dormancy fees at its sole discretion; doing so in one case creates no obligation to do so in any other.
- If the Issuer or SolCard determines that the Client's Card receives, or is likely to receive, a disproportionately high number of declined Transactions, reversals, refunds, disputes, fees, or other liability, SolCard may apply a handling fee upon notice via email. If the Client does not agree to such a fee, the Client's sole remedy is to stop using the Services and close the account before the fee takes effect.
The Client may top up the Card using supported digital assets, and may withdraw unused Card balance, subject in each case to the minimum amounts, supported assets, verification requirements, and processing windows published in the App at the time of the request. These may differ by card type. Withdrawals may be delayed, limited, or declined where required for security review, fraud prevention, or compliance with applicable law or Service Provider requirements.
The Client may cancel a Card in the App. Upon confirmed cancellation, any remaining balance at or above the minimum refundable amount published in the App will be returned in accordance with the withdrawal procedure then in effect. A remaining balance below the published minimum refundable amount is not refundable and is forfeited upon confirmed cancellation.
- The number of Cards a Client may hold, and the availability of additional card slots, are set by SolCard, displayed in the App, and may vary by card type. Additional card slots, where offered, may be purchased at the price displayed in the App at the time of purchase.
- SolCard may set and adjust, in its sole discretion, the Monthly Limit and Card Limit applicable to a Card for risk control and regulatory compliance purposes from time to time. Any payment exceeding an applicable limit may be rejected.
- All SolCard Cards remain the property of the Issuer and must be returned upon request. The Issuer or SolCard may cancel, revoke, repossess, or restrict the use of the SolCard Card at any time. SolCard may decline to authorize or reverse charges, or suspend the SolCard Card, for any reason including violation of this Agreement, suspected fraud, or creditworthiness. SolCard may also decline to authorize Transactions at merchants restricted by the Issuer or the card network. Neither SolCard nor the Issuer is responsible for losses resulting from declined or reversed Transactions.
- The Client is responsible for securing account credentials, SolCard Card numbers, and security features (including the CVV and PIN, if any), and must not share the CVV with any person. The Client is responsible for charges, fees, and penalties resulting from the Client's failure to exercise reasonable care in safeguarding the SolCard Card from loss or theft, or failure to promptly report loss or theft. If the Client uses or allows someone else to use the SolCard Card for any purpose, the Client is responsible for such use and may be required to reimburse SolCard and the Issuer for all amounts or expenses paid by such entities as a result of such use. The Client is responsible for monitoring the SolCard Card for suspicious or unauthorized activity, and is liable for the unauthorized use of the SolCard Card to the fullest extent permitted by applicable law.
The Client may not use the Services: (1) for any unlawful purpose, including money laundering, terrorist financing, fraud, or sanctions evasion; (2) on behalf of, or for the benefit of, any third party; (3) in connection with any activity restricted by the Issuer or the card network; or (4) in any manner that interferes with, disrupts, or circumvents the security or verification controls of the Services. SolCard may report suspected unlawful activity to relevant authorities.
SolCard may suspend, restrict, or terminate the Client's account or any Card, with or without prior notice, where SolCard reasonably considers it necessary due to: a breach of this Agreement; suspected fraud or unlawful activity; a requirement of the Issuer, a card network, or applicable law; or risk to SolCard, its Service Providers, or other clients.
Upon termination, the Client may withdraw any eligible remaining balance in accordance with the withdrawal procedure then in effect, except where the balance is subject to holds, disputes, chargebacks, legal restrictions, or forfeiture under this Agreement or applicable law.
The Client may terminate this Agreement at any time by cancelling all Cards and closing the account.
The Services are provided "as is" and "as available." To the maximum extent permitted by applicable law, SolCard makes no warranty that the Services will be uninterrupted, error-free, or secure, that any merchant will accept the Card, or that any digital-asset network will process a transfer within any particular time. Digital-asset transfers depend on third-party networks outside SolCard's control and may be delayed or fail. The Client is responsible for sending only supported assets on supported networks to the addresses displayed in the App.
To the maximum extent permitted by applicable law: (1) SolCard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill; and (2) SolCard's aggregate liability arising out of or relating to this Agreement or the Services shall not exceed the total fees paid by the Client to SolCard in the twelve months preceding the event giving rise to the claim. Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under applicable law.
The Client shall indemnify and hold harmless SolCard and its Service Providers from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising out of the Client's breach of this Agreement, misuse of the Services, or violation of applicable law, including amounts SolCard or the Issuer pays as a result of use of the Card by the Client or by any person the Client allows to use the Card.
The Client consents to receive all notices, disclosures, and other communications relating to this Agreement and the Services electronically, by email to the address associated with the Client's account or by message in the App.
This Agreement is governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws rules. Any dispute, controversy, or claim arising out of or relating to this Agreement, including its existence, validity, interpretation, breach, or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong, the number of arbitrators shall be one, and the language of the arbitration shall be English. Nothing in this section deprives the Client of the protection of any mandatory consumer-protection rules of the jurisdiction in which the Client resides.
- Entire agreement. This Agreement, together with the documents referred to in the General terms section, constitutes the entire agreement between the Client and SolCard regarding the Services and supersedes all prior agreements and understandings.
- Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force and effect.
- Assignment. SolCard may assign or transfer this Agreement or any of its rights and obligations, including in connection with a change of Issuer or a corporate reorganization. The Client may not assign this Agreement without SolCard's prior written consent.
- No waiver. A failure or delay by SolCard in exercising any right is not a waiver of that right.
- Force majeure. SolCard is not liable for any failure or delay caused by events beyond its reasonable control, including acts of government, network or infrastructure failures, and failures of Service Providers or digital-asset networks.
- Language. Where this Agreement is made available in languages other than English, the English version prevails.
- Survival. Provisions that by their nature should survive termination โ including accrued fee obligations, forfeiture, disclaimers, limitation of liability, indemnity, and dispute resolution โ survive termination of this Agreement.
